What is the Club Deal process for co-investors?

Throughout the Club Deal process, there are multiple steps a co-investor will go through to facilitate their investment. Among others, they include signing up to the bunch platform, going through identity and Anti-Money Laundering checks (KYC), signing the partnership agreement, receiving and acting on capital calls, and depending on the entity type, additional tasks such as signing a Power of Attorney for notarisation.

Signing up to the bunch platform

Once a club deal is initiated by the lead investor, every co-investor will receive a personal registration link that takes them through the onboarding flow to fill in the required information. Typically, this takes no more than 5 minutes.

Identity and Anti-Money Laundering Checks (KYC)

To streamline the investment process, it is necessary for us to verify the details of all our customers. Therefore, we ask all investors to upload a copy of their ID (in colour, front and back side without cut-off edges) or passport, a proof of address, and if applicable, a proof of entity existence and UBO overview.

Signing the partnership agreement

bunch will prepare the partnership agreement once all investors are successfully onboarded and have completed the KYC checks. Investors will receive a task notification via email and are asked to review and sign the agreement digitally via the task on their platform.

Power of Attorney

Only applicable if you invest via a UG & Co. KG or a GmbH & Co. KG.

If you invest via a UG & Co. KG or a GmbH & Co. KG German law requires that your ownership in the underlying entity is entered into the Commercial Register. bunch assists their customers in this process by preparing a Power of Attorney (PoA) template, which needs to be signed and notarized by each co-investor. Afterwards, the lead investor can go to the notary on their co-investors’ behalf and enter their ownership into the Commercial Register.

Capital Calls

All capital calls will be available for investors on the bunch platform. When a capital call is initiated all investors receive a notification via e-mail. Further instructions, including called amounts, the wire details and a capital call letter will be available in a capital call task on the bunch dashboard.
